Optronix General Terms and Conditions

These Terms and Conditions (the "Agreement") govern the provision of services by Optronix Consulting Ltd ("Optronix", "we", or "us") to the client ("Client"). By engaging Optronix, the Client agrees to these terms.

1. Scope of Work

​

Optronix will provide data centre technical engineering services, including but not limited to design, installation, migration, rack and stack, structured cabling, and decommissioning ("Services"). The specific details of the Services will be outlined in a separate proposal or statement of work ("SOW").

 

2. Quotations and Prices

​

All prices provided in the quotation are based on the Services detailed in the SOW. Prices are subject to change if additional work is required due to changes in scope or unforeseen circumstances. Quotations are valid for 30 days unless otherwise stated.

3. Project Timeline

​

As outlined in the project schedule.

​

4. Client Responsibilities

​

The Client agrees to provide:

  • Timely access to the site and any necessary permissions.

  • Any documentation, designs, or third-party cooperation required for the completion of the project.

  • Payment for materials and Services in accordance with the terms outlined below.

 

5. Payment Terms

​

  • Invoicing: Invoices will be issued upon completion of key milestones or as detailed in the SOW.

  • Payment Due: Payment is due within 30 days of the invoice date unless otherwise specified.

 

6. Material Provision and Ownership

​

Optronix may purchase materials on behalf of the Client for the successful delivery of the project. Ownership of materials shall transfer to the Client upon full payment for the Services. Until such time, materials remain the property of Optronix.

 

7. Cancellation and Postponement

​

  • 14 Days Prior: If a project is cancelled or postponed within 14 days of the start date, Optronix reserves the right to charge 50% of the total project value.

  • 7 Days Prior: If the Client cancels or postpones within 7 days of the project start date, Optronix reserves the right to charge 100% of the total project value.

  • These charges are at the discretion of Optronix.

 

8. Change Orders

​

Any changes to the scope of work must be documented in writing and may result in changes to the project cost and timeline. Optronix will not proceed with any changes until the Client has approved them in writing.

9. Confidentiality

​

Both Optronix and the Client agree to keep any proprietary or confidential information disclosed during the project strictly confidential. This obligation remains in effect for 2 years after project completion.

10. Insurance

​

Optronix carries appropriate insurance, including public liability and professional indemnity coverage. Upon request, Optronix will provide evidence of insurance coverage. The Client is responsible for any additional insurance coverage they deem necessary.

 

11. Force Majeure

​

Optronix will not be held liable for any delays or failure to perform its obligations under this Agreement if such delay or failure is caused by events beyond its reasonable control, including but not limited to acts of God, strikes, wars, and pandemics.

12. Health and Safety

​

Optronix and the Client agree to comply with all applicable health and safety regulations. The Client must ensure a safe working environment on their premises.

13. Governing Law

​

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, unless otherwise stated.. Any legal action related to this Agreement must be brought in the courts of England and Wales, unless otherwise stated.

14. Intellectual Property

​

All intellectual property developed by Optronix during the course of the project, including designs, documentation, and methodologies, remains the property of Optronix unless otherwise agreed in writing.

​

15. Entire Agreement

​

This Agreement, together with any SOW or attached documents, constitutes the entire understanding between the parties. No amendment or modification shall be valid unless agreed in writing by both parties.

​

16. Severability

​

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

​

By engaging Optronix, the Client acknowledges and agrees to these terms and conditions.
